User Agreement

PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE USING THIS SITE. Your use of this site is expressly conditioned on your acceptance of the following terms and conditions. By using this site, you signify your assent to these terms and conditions. If you do not agree with any part of the following terms and conditions, you must not use this site. We may at any time modify these terms and conditions and your continued use of this site will be conditioned upon the terms and conditions in force at the time of your use. Furthermore, you agree that we may discontinue our website at anytime and without notice and without any liability or responsibility to you. This agreement is effective on November 26th, 2007 for all users. 1. EhlerRVTransport.com is a Neutral Venue. Our site acts as a venue for shippers and transportation service providers (TSPs) to exchange information and arrange for various transactions and services. EhlerRVTransport.com is not involved in the actual transaction between shippers and TSPs nor do we have control over the quality, safety or legality of items transported.  EhlerRVTransport.com is neither a TSP, transportation broker, insurance company, freight forwarder, nor an insurance broker, nor a claims adjustment agency. We are the neutral venue for the connection between you and other members. We do not provide any endorsement for you or your services, you acknowledge and agree that we do not provide the services and we are not in any way responsible for assisting you in any manner with your provision of the services. We cannot and will not guarantee the ability of members to complete payment for any of the provided services. Furthermore, due to the difficulty of individual authentication, especially on the Internet, we cannot and will not in any manner verify or confirm the identity or ability of members to pay for the provided services. You acknowledge and agree that any and all communications, correspondence, verbal or written, or any warranties or representations, made with regard to the services are not provided by us and are specifically and solely between you and the other member. Because we are not involved in the actual transaction between shippers and TSPs, we have no control over the accuracy of listings, the ability of TSPs to transport items, or the ability of shippers to send items. We cannot ensure that a shipper or TSP will actually complete a shipment. 2. Membership. EhlerRVTransport.com services are available only to individuals who can form legally binding contracts under applicable law. Our services are not available to minors or to temporarily or indefinitely suspended EhlerRVTransport.com members. EhlerRVTransport.com membership is not transferrable to any party, temporarily or otherwise. If you are registering as a business entity, you represent that you have the authority to bind the entity to this agreement. Members who engage in the transportation of goods must have a valid license to operate the vehicle they intend to use. You agree that the website is for services only and that work that you provide will only involve services. 3. Fees. There are currently no fees to join EhlerRVTransport.com and no listing or transaction fees for shippers or Transportation Service Providers (TSP’s). 4. No Agency. You hereby agree and acknowledge that your execution of this Agreement, your provision of services and/or your use of the EhlerRVTransport.com website, does not confer or imply any contractor (independent or otherwise), agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship with us and furthermore that no affiliation, association or connection exists between you and us. 5. Release. If you have a dispute with one or more EhlerRVTransport.com users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. 6. Transportation. You must legally be able to transport the shipments you provide quotes for. You agree that it is your sole obligation to comply with all laws, rules, statutes and regulations that may apply including any and all local, state and federal licensing requirements. You must describe your offer and all terms of your services when providing a quote. You acknowledge that the EhlerRVTransport.com website exists for members to make a fully informed decision about your quotes, services offering, policies and procedures. Therefore, you shall disclose to every member that you attempt to do business with your services offerings and relevant policies, procedures and fees that you will charge, including, but not limited to, taxes and/or other service charges. 7. Information You Submit. You are solely responsible for any information you provide to us or other users, and we act as a passive conduit for the distribution and publication of your information. We have no control, editorial or otherwise, over any communication, information, and specifically, over the content of such communication or information. We do not and will not ensure the accuracy or reliability of such communication or information nor will we act as a monitor over the content of such communication for information. However, we may take any action with respect to communication or information that you may post to the website we deem necessary or appropriate at our sole discretion if we believe it may create liability for EhlerRVTransport.com. Your communication or information (a) shall not be fraudulent or involve the transportation of illegal, counterfeit, or stolen items; (b) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (c) shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, national security, anti-discrimination or false advertising); (d) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (e) shall not be obscene or contain child pornography or, is otherwise harmful to minors, (f) shall not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and (g) shall not link directly or indirectly to or include descriptions of goods or services that are prohibited under this Agreement. Furthermore, you expressly represent and warrant the following: (1) You are the owner, with all appurtenant rights thereto, of any and all communication, content and/or information that you post on the website, or; (2) You are the legitimate and rightful grantee of a worldwide, royalty free, perpetual, irrevocable, sub-licensable, non-exclusive license to use, distribute, reproduce and distribute such communication, content and/or information. To only that extent to allow us to use your communication, content and/or information and not violate your rights in the same, You grant to us a royalty free, perpetual, irrevocable, sub-licensable, non-exclusive license to exercise the copyright, publicity and database rights that you have in your communication, content and/or information. 8. Fraud. EhlerRVTransport.com may suspend or terminate your account if we suspect that you have engaged in fraudulent activity in connection with our website. 9. Termination. We reserve the right to cancel your account, or otherwise refuse service to you, at any time for any reason (including repeat infringement). EhlerRVTransport.com may choose to assume that you intended to terminate your account if you do not access it for more than 3 months. Following termination of your account for any reason (including inactivity), (1) at their sole option, EhlerRVTransport.com may continue or stop publicly displaying some or all of your content. 10. Taxes. You shall be responsible for any and all taxes taxes associated with the use of this site 11. No Warranty. EhlerRVTransport.com PROVIDES THIS WEB SITE AND THE INFORMATION AND SERVICES ON OR THROUGH IT "AS IS", WITHOUT ANY WARRANTY OF ANY KIND, EXPRESSED, IMPLIED OR STATUTORY. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some states may not allow the exclusion of implied warranties, so check local laws. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state. 12. Limited Liability. IN NO EVENT SHALL WE OR OUR EMPLOYEES BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR IN CONNECTION WITH, USE OF OUR SITE, INFORMATION POSTED ON OUR SITE, OUR SERVICES OR THIS AGREEMENT HOWEVER ARISING, INCLUDING NEGLIGENCE. 13. Indemnity. You will indemnify and hold us (and our officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your negligence, breach of this Agreement, or violation of any law or the rights of a third party. 14. Legal Compliance. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of EhlerRVTransport.com and your listing, transporting, shipping  and solicitation of offers to ship and transport items. 15. Arbitration. Any legal claim arising out of or relating to this Agreement or our services, excluding legal action taken by EhlerRVTransport.com to recover damages for, or obtain an injunction relating to, the EhlerRVTransport.com site operations, intellectual property, and our services, shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Phoenix, Arizona, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. 16. Dispute Resolution. We will attempt to resolve any disputes you have with us. Because we are a neutral venue (as explained above), we are not responsible for resolving any disputes between you and members regarding services. If you report a dispute to EhlerRVTransport.com, we will make every effort to help both parties communicate, however, all disputes must be resolved directly between you and members. Therefore, if we are contacted by a member who claims to have a dispute with you regarding the services and they request your contact information (including but not limited to any of your provided phone numbers and/or addresses) to settle the dispute, You expressly authorize us to release your provided contact information to the customer and you agree to release us from any and all liability associated therewith. We encourage you to report all member-to-member disputes to law enforcement officials or a certified mediation or arbitration entity. When appropriate, we also encourage you to report disputes involving fraud, theft, or other criminal activity to the appropriate law enforcement agencies. 17. Copyright. All content included on this site, such as text, graphics, logos, button icons, images, digital downloads, data compilations, and software, is the property of EhlerRVTransport.com or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this site is the exclusive property of EhlerRVTransport.com and protected by U.S. and international copyright laws. All software used on this site is the property of EhlerRVTransport.com or its software suppliers and protected by United States and international copyright laws. 18. Trademark. The EhlerRVTransport.com website contains trademarks, tradenames, trade dress, service marks, domain names or other indicia of ownership (collectively the "Marks") owned or licensed for use by us. The Marks may not be used in connection with any product or service that is not EhlerRVTransport.com's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits EhlerRVTransport.com. All other trademarks not owned by EhlerRVTransport.com that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by EhlerRVTransport.com. 19. Governing Law. THIS AGREEMENT AND YOUR USE OF THE SITE SHALL BE GOVERNED BY THE LAWS OF THE STATE OF ARIZONA, WITHOUT REGARD TO PRINCIPLES OF CONFLICT OF LAWS. 20. General.  If any provision of this Agreement is held to be invalid or unenforceable, it shall be stricken without affecting the validity of the remaining portions of this agreement. Headings are for convenience only, and are not intended to in anyway to confine, limit, construe or describe the scope or extent of such section. The failure by either party to enforce at any time any of the provisions of this Agreement, to exercise any election or option provided herein, or to require at any time the performance of the other of any of the provisions herein will not in any way be construed as a waiver of such provisions. Reasonable attorneys' fees and costs will be awarded to the prevailing party in the event of litigation involving the enforcement or interpretation of this Agreement.
